Leveraging a distinguished career spanning more than three decades, Mr. Caine is regarded for his expertise in securities and corporate governance, litigation and corporate control, and board advisory. His professional journey reflects a commitment to handling complex financial matters that frequently draw the attention of boards of directors and involve significant reputational and monetary stakes. In his current role at Katten Muchin Rosenman LLP in Palo Alto, California, since 2025, Mr. Caine has supervised and directed the representation of clients in securities class actions, managed derivative cases and corporate control disputes, and overseen government investigations. His ability to navigate high-stakes situations has earned him recognition among peers and clients alike.

Before joining Katten Muchin Rosenman LLP, Mr. Caine was a partner at Alston & Bird LLP from 2010 to 2025. During this period, he managed intricate litigation and advised on securities and corporate governance issues, and was involved in mergers and acquisitions litigation, Securities and Exchange Commission investigations and enforcement actions.

Between 2006 and 2010, Mr. Caine was a partner at Jones Day, where he expanded his experience in securities litigation and board advisory work. Earlier roles included serving as a partner at Dechert LLP from 2003 to 2006 and at Oppenheimer & Co. Inc. between 2002 and 2003.

Mr. Caine’s foundational years in law began as an associate at Wilson Sonsini Goodrich & Rosati from 1996 to 2002. He joined the firm when it was still relatively unknown, but witnessed its significant growth during his tenure. Before this, he was an associate at Paul, Weiss, Rifkind, Wharton & Garrison LLP between 1989 and 1996, where he gained valuable experience in litigation practice. His early legal career included a clerkship with The Honorable Michael B. Mukasey from 1988 to 1989 and service as an exceptions and appeals analyst with the U.S. Department of Energy between 1983 and 1985.

Additionally, Mr. Caine contributed as a staff member for the New York University Journal of International Law and Politics from 1986 to 1988. This role provided him with early exposure to legal scholarship and international law topics.

Mr. Caine’s academic background laid the groundwork for his success in law. He completed a Bachelor of Arts in economics and philosophy from the University of Pennsylvania in Philadelphia in 1983 and a Doctor of Jurisprudence from the School of Law at New York University in 1988. These studies provided him with analytical rigor and a broad intellectual foundation that have been instrumental throughout his career. Mr. Caine was admitted to practice by the New York and California Bar Associations, enabling him to represent clients nationally and internationally while maintaining a particular focus on California matters.

Beyond his legal practice, Mr. Caine is deeply engaged in civic initiatives addressing food insecurity and homelessness in Silicon Valley. As a volunteer with Second Harvest of Silicon Valley, he participates in outreach programs that connect homeless individuals with essential services and nutrition support. He is also active within his synagogue community in Palo Alto through charitable projects that further extend his commitment to social responsibility. Mr. Caine’s contributions extend to legal scholarship. In 2019, he authored “Emulex Will Likely Dictate Venue For Merger Shareholder Suits,” published by Law360 Portfolio Media Inc.

Among Mr. Caine’s most notable professional achievements as an attorney has been his role as the co-lead counsel in the Dell v. Magnetar Global case before the Delaware Supreme Court. In this landmark matter involving Michael Dell’s privatization of his company and a half-billion-dollar valuation dispute, he secured a complete victory when the court affirmed that the deal price equates to the fair price in management-led go-private transactions with open-market processes. Mr. Caine also represented Kazuo Okada, one of Japan’s wealthiest individuals, in complex litigation against Steve Wynn concerning control of Wynn Resorts. This high-profile case involved innovative gaming technology and attracted significant media attention.

A hallmark of Mr. Caine’s professional approach is his self-described naive curiosity paired with a lifelong commitment to learning. He credits his ongoing interest in understanding systems and human motivations as key drivers behind his continued engagement with challenging cases and evolving legal landscapes. This openness has kept Mr. Caine intellectually sharp and adaptable within a highly competitive field.

In light of his success, Mr. Caine’s professional excellence has been recognized by Chambers USA, which has ranked him for securities litigation since 2016, a testament to his standing among leading practitioners nationwide. Crediting his upbringing for his professional drive, he was raised in an accomplished academic family with his father serving as a law professor at Temple University in Philadelphia and leading the American Civil Liberties Union locally for many years, while his mother was a poet and writer.

Looking ahead, Mr. Caine intends to continue practicing law alongside colleagues he respects while mentoring younger lawyers, a responsibility he views as essential given recent shifts toward remote work environments for new attorneys. He remains committed to fostering professional growth among emerging lawyers while learning from their fresh perspectives. Additionally, Mr. Caine hopes to contribute positively to ensure future generations inherit a world improved by collective effort.
