A versatile and revered attorney, Mr. Constance has amassed nearly five decades of professional experience in the legal industry. Currently serving as partner and co-chairman of Kramer, Levin, Naftalis & Frankel since 1994, he focuses his practice on complex corporate and securities matters, including financings, mergers and acquisitions, initial public offerings, tender offers and proxy fights. Graced with a diverse range of clientele, such as banks, finance companies, accounting firms and consultancies, he has proven to be a prominent figure in the field of law.
Alongside his primary endeavors, Mr. Constance has held the role of director of The SASS Foundation for Medical Research Inc., Siga Technologies Inc. and Florida Community Bank. In addition, he participates on the advisory board of Barington Capital and the trust advisory committee of the Bank of America/U.S. Trust. In an effort to remain aware of changes in the industry, he maintains affiliation with the Association of the Bar of the City of New York and the American Bar Association.
While serving as a lieutenant in the United States Army, Mr. Constance pursued a formal education at New York University, where he received a Bachelor of Science in 1958. He concluded his education at the School of Law at St. John’s University, earning a Bachelor of Laws in 1964. He was subsequently admitted to the New York Bar in 1965.
In recognition of his exceptional contributions to law, Mr. Constance has accrued several accolades throughout his impressive career. From 2008 to 2018, he was recognized as one of Woodward White Inc.’s Best Lawyers in America, and he won the Hopes & Heroes Children’s Cancer Fund Legacy of Hope Award in 2013. Likewise, he was named one of Thomas Reuters’ New York Super Lawyers from 2006 to 2009. Mr. Constance was an honoree of the Little Orchestra Society in 2009, the SASS Foundation for Medical Research Inc. in 2009, the Michael J. Fox Foundation for Parkinson’s Research in 2007, and the Hineni Heritage Center in 1995.
Married to Janet Barbara Raynor since 1970, he is the proud father of three daughters and six grandchildren. Notably, he was highlighted in several editions of Who’s Who in Finance and Industry, Who’s Who in America, Who’s Who in American Law and Who’s Who in the East.
